1. Introduction

Welcome to TEAM HERO (“Company”, “we”, “our”, or “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website, communication platforms, messaging systems, WhatsApp Official API integrations, Rich Communication Services (RCS), and related digital solutions offered by TEAM HERO.

TEAM HERO provides business communication enablement services including WhatsApp Business API and RCS messaging solutions for enterprises, startups, and businesses seeking structured customer engagement systems.

By accessing or using our Services, you agree to be legally bound by these Terms. If you do not agree, you must discontinue use immediately.

2. Definitions

For purposes of these Terms:

  • “Services” means all messaging, automation, WhatsApp API integration, RCS messaging, campaign management, and related services provided by TEAM HERO.
  • “User” / “Client” refers to any individual or legal entity using our Services.
  • “Platform” means our website, dashboards, APIs, and communication infrastructure.
  • “WhatsApp Official API” refers to the official messaging interface provided by Meta Platforms, Inc.
  • “RCS” means Rich Communication Services enabled via telecom operators and Google-supported platforms.
  • “Applicable Law” refers to laws in force in India including the Information Technology Act, 2000 and allied rules.

3. Acceptance of Terms

By registering, subscribing, or accessing TEAM HERO Services, you:

  • Confirm you have read and understood these Terms.
  • Agree to comply with Indian laws and regulations.
  • Agree to comply with Meta Business Messaging Policies and RCS guidelines.
  • Accept responsibility for all activities conducted through your account.

Continued use constitutes ongoing acceptance.

4. Description of Services

TEAM HERO provides technology-enabled messaging and communication facilitation services including:

  • WhatsApp Official Business API onboarding and integration
  • RCS Business Messaging configuration
  • Automated notifications and alerts
  • Promotional and transactional messaging
  • Customer engagement dashboards
  • Message template management
  • Consent management advisory

TEAM HERO acts as a technology service provider and facilitator. We do not own WhatsApp, Meta platforms, telecom infrastructure, or RCS networks.

5. Eligibility

To use TEAM HERO Services:

  • You must be at least 18 years of age.
  • You must be legally capable of entering binding contracts.
  • Businesses must provide valid registration details where applicable.
  • You must not be restricted under Indian law from using digital communication services.

We reserve the right to reject or suspend accounts that fail verification.

6. Account Registration

Users may be required to:

  • Provide accurate business details.
  • Submit KYC documentation where required.
  • Maintain confidentiality of login credentials.
  • Immediately report unauthorized access.

You are solely responsible for safeguarding account credentials and for activities conducted under your account.

7. User Responsibilities

Users of TEAM HERO agree:

  • To obtain explicit opt-in consent before sending WhatsApp or RCS messages.
  • Not to send spam, unsolicited bulk messages, or misleading content.
  • To comply with TRAI regulations, Meta Commerce Policies, and RCS guidelines.
  • Not to send prohibited content (illegal goods, adult content, gambling, political manipulation, etc.).
  • To maintain proper customer data protection standards.

Violation may result in immediate suspension without notice or refund.

8. Payment & Billing Terms

  • All services are chargeable unless otherwise specified.
  • Payments must be made in advance.
  • Pricing may vary based on volume and service type.
  • Applicable GST will be charged as per Indian tax law.
  • Failure to pay may lead to suspension or termination.

All fees paid are non-refundable unless required under law.

9. Subscription Renewal & Termination

Subscriptions may auto-renew unless cancelled before renewal date.

TEAM HERO reserves the right to:

  • Suspend services for policy violations.
  • Terminate accounts for non-payment.
  • Disable access upon regulatory instruction.

Upon termination, outstanding dues remain payable.

10. Use of WhatsApp Official API & RCS

Users acknowledge:

  • WhatsApp API is governed by Meta policies.
  • RCS messaging is governed by telecom and Google policies.
  • TEAM HERO cannot control number bans or restrictions imposed by Meta or operators.
  • Template approvals are subject to Meta review.

Any misuse leading to platform penalties is solely the User’s responsibility.

11. Message Delivery & Compliance Policy

Message delivery depends on:

  • Telecom operator availability
  • Internet connectivity
  • End-user device compatibility
  • Platform moderation decisions

TEAM HERO does not guarantee 100% delivery.

Users are solely responsible for content legality and regulatory compliance.

12. Intellectual Property Rights

All software, systems, dashboards, trademarks, and proprietary tools of TEAM HERO remain our exclusive intellectual property.

Users may not:

  • Reverse engineer or copy systems.
  • Resell services without authorization.
  • Use TEAM HERO branding without written consent.

13. Confidentiality

Both parties agree to maintain confidentiality of:

  • Business strategies
  • Technical integrations
  • Customer data
  • Financial arrangements

Confidential obligations survive termination.

14. Disclaimer of Warranties

Services are provided on an “as is” and “as available” basis.

TEAM HERO does not guarantee:

  • Uninterrupted services
  • Platform approvals
  • Error-free performance
  • Specific marketing outcomes

15. Limitation of Liability

To the maximum extent permitted under Indian law:

  • TEAM HERO shall not be liable for indirect or consequential damages.
  • Total liability shall not exceed fees paid in the preceding three (3) months.

16. Indemnification

You agree to indemnify and hold harmless TEAM HERO from claims arising due to:

  • Illegal messaging
  • Data misuse
  • Policy violations
  • Regulatory fines due to your actions

17. Governing Law (India)

These Terms are governed by laws of India.

Courts in Pune, Maharashtra shall have exclusive jurisdiction.

18. Changes to Terms

TEAM HERO may update these Terms at any time.

Revised Terms become effective upon website publication.
